TERMS OF ASSEMBLY & INSTALLATION

1. SCOPE OF APPLICATION

1.1. These Terms of Assembly (“Assembly Terms”) govern all installation, structural assembly, commissioning, and technical mechanical works performed by Soeters Martinus Engineering Solutions SRL (“SME Solutions”) or its authorised subcontractors.

1.2. These conditions are an inseparable supplement to our General Terms and Conditions of Sale and Supply. In case of any conflict regarding technical installation or site rules, these Assembly Terms shall prevail.

2. PRE-ASSEMBLY REQUIREMENTS & SITE READINESS (CUSTOMER RESPONSIBILITIES)

All cost estimates, assembly timelines, and project fixed-rates are strictly contingent upon the Customer fulfilling the following preparations prior to the arrival of our installation crew:

2.1. Unloading & Transport: The unloading of delivered components (racking profiles, shelves, plastic containers) and their immediate internal transport to the exact assembly area is the sole responsibility and expense of the Customer.

2.2. Storage Space: The Customer must provide an enclosed, dry, weather-proof, and lockable storage space directly at or adjacent to the assembly site to protect the materials, tools, and installation equipment from damage, theft, or deterioration.

2.3. Floor Quality & Measurement Points: The warehouse concrete slab must be fully cured, swept clean, and free of dust or debris. The floor alignment, levelling, and tolerance metrics must strictly conform to FEM 9.831 / DIN 18202 industrial standards. The Customer must clearly mark all reference points for heights, longitudinal, and transverse axes before assembly starts.

2.4. Auxiliary Equipment & Utilities: The Customer must provide, free of charge: certified heavy-lifting machinery (forklifts, manlifts, or scissor lifts with a lifting height sufficient for the specified rack apex), uninterrupted electrical power (including necessary grid voltage for power tools/welding), adequate lighting, heated indoor conditions during cold seasons (minimum +5°C), and access to sanitary facilities for the assembly crew.

3. EXECUTION OF ASSEMBLY WORKS

3.1. Installation works will be executed strictly according to the finalised, approved technical drawings and layout plans signed by the Customer.

3.2. Any structural changes, local re-positioning, or deviations from the layout requested by the Customer mid-assembly must be reviewed and approved by the SME Solutions project manager and will be invoiced separately on a time-and-material basis.

3.3. The system operator/Customer is exclusively responsible for clarifying and obtaining all necessary local building permits, municipal authorisation, or civil architectural approvals required for the warehouse structure.

4. WORKING HOURS, INTERRUPTIONS, AND DELAYS

4.1. Calculated installation rates assume unrestricted, continuous working hours between 07:00 and 20:00 on business days.

4.2. If the assembly process is interrupted or delayed due to construction-site conditions outside of our control (e.g., floor unlevelness, lack of power, site access blockages, or the overlapping presence of other trades/subcontractors), the resulting standby waiting times will be invoiced to the Customer at our current hourly technical rates.

4.3. During any periods of forced site interruption, the Customer assumes total custodian liability for all materials, pre-assembled elements, and tools stored on the premises.

4.4. If the Customer requests a postponement of a confirmed assembly date less than 14 calendar days prior to the scheduled start, SME Solutions reserves the right to invoice all logistical re-booking penalties and standby labor costs incurred.

5. TESTING, COMPLETION, AND ACCEPTANCE

5.1. Immediately upon completion of the structural installation, a formal Joint Acceptance Protocol (Proces-Verbal de Recepție) must be signed by the certified SME Solutions assembly supervisor and the authorised representative of the Customer.

5.2. If the Customer utilizes the installed racking, shelving, or mezzanine systems for active material handling or operational storage prior to signing a formal acceptance protocol, the installation shall legally be deemed fully completed, fault-free, and accepted by the Customer.

6. LIABILITY AND EXCLUSIONS

6.1. SME Solutions does not perform masonry, bricklaying, electrical mains cabling, or deep floor chiselling. If anchors require drilling into concrete, the Customer must explicitly declare all sub-surface hazards (such as underfloor heating pipes, cables, or post-tensioned cables) and declare the maximum safe drilling depth.

6.2. SME Solutions shall not be held liable for delayed delivery or execution timelines resulting from raw material backlogs, structural manufacturing faults from third-party EU providers, or occurrences of Force Majeure.
